Terms of Service

1. Agreement

These terms are a legal agreement between you and Build Test Run LLC ("we", "us", "our"), the operator of Elody. When you create an account or use the service, you agree to these terms. If you are using the service on behalf of a business, you agree on its behalf. If you do not agree, do not use the service.

2. The service

Elody is a 24/7 AI voice receptionist for phone-first and home-service businesses. It answers inbound calls, captures leads (name, number, and reason), takes appointment requests using the hours you set, can book appointments on the Google Calendar you connect, escalates urgent calls when you ask it to, and emails you a transcript and summary after a call. Urgent calls may also text the on-call number you provide. The marketing site is at elody.ai. The application is at app.elody.ai.

Elody only offers the availability you publish or that your connected calendar shows as open. It does not invent a time you did not offer. You are our customer. People who call your business are your callers. We are not a party to the relationship between you and your callers.

3. Your account

You must provide a valid email address and keep your login credentials secure. You are responsible for all activity under your account, including any Google account or calendar you connect. You must be at least 18 years old to create an account.

4. Acceptable use

You agree not to:

• Use the service for any unlawful purpose.
• Use Elody to harass, defraud, or spam callers, or to send unsolicited marketing texts.
• Attempt to access other users' accounts or data.
• Interfere with the operation of the service or its infrastructure.
• Reverse-engineer, copy, or resell the service.
• Provide hours, prices, FAQs, or other business information you do not have the right to use.
• Connect a Google account or calendar you do not have authority to use.

We may suspend or terminate accounts that violate these terms.

5. Calls, recordings, and messages

The service may record, transcribe, and summarize calls, and may send SMS or email on your behalf. You are responsible for the content Elody speaks and sends from your account, including your greeting, hours, services, and FAQs.

• You are solely responsible for the disclosures and consents required to record or transcribe calls in each place you operate, including all-party consent states. Some regions require every party on the call to consent to recording.
• You are solely responsible for consent to send text messages, including TCPA and similar rules, and for honoring STOP and other opt-out requests.
• You decide which calls are urgent and which phone Elody should escalate to. We do not guarantee that every escalation, transfer, or notification will succeed.
• We are not liable for missed calls, lost jobs, lost leads, or incorrect answers that come from information you provided or from telephony or AI provider outages.

You agree to indemnify and hold Build Test Run LLC harmless from claims, fines, or losses that arise from your recording practices, your SMS, your callers, or the business information you give Elody to speak.

6. Your data

You own the data you put into your account, including your business profile, hours, services, FAQs, and the leads and appointments captured for you. Calendar events Elody creates on a Google Calendar you connect are created on that Google account; we do not claim ownership of your Google Calendar. We process caller data as your service provider, on your instructions. Our use of data, including Google user data, is described in our Privacy Policy.

7. Google Calendar

Connecting Google Calendar is optional. If you connect it, you authorize Elody to list your calendars so you can pick one, read free/busy times on that calendar, and create (and if needed update or cancel) appointment events. You represent that you have the right to connect that Google account and calendar.

Elody uses that access only to book appointments on the calendar you choose. Details are in the Privacy Policy. Google's terms also apply to your Google account.

You may disconnect Google Calendar at any time in the Elody application or by emailing hello@elody.ai. After you disconnect, Elody stops accessing that Google Calendar. Events already written to Google Calendar remain until you change or delete them in Google. We do not guarantee that Google Calendar will always be available or that every booking will succeed if Google, your calendar settings, or a token refresh fails.

8. Our intellectual property

The Elody name, logo, design, and software are the property of Build Test Run LLC. These terms do not give you any rights to our trademarks, branding, or source code.

9. Payments and billing

Paid plans and any usage-based charges are billed on the terms stated at signup or in your order. You can cancel at any time, and you will not be charged beyond the current billing period. All fees are in US dollars. Refunds are at our discretion, except as required by law.

10. Service availability

We work to keep the service stable and available, but we do not guarantee uninterrupted access, that every call will be answered, that every notification will be delivered, or that every calendar booking will be written to Google Calendar. Phone carriers, speech providers, Google, and other third parties can fail. We may perform maintenance, update features, or change plans with advance notice. The service is provided on an "as is" and "as available" basis, without warranties of any kind to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, Build Test Run LLC is not liable for indirect, incidental, special, consequential, or punitive damages that arise from your use of the service. This includes lost profits, missed calls, lost jobs, lost leads, failed escalations, failed or incorrect calendar bookings, and damages from recordings, transcripts, summaries, or messages. Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months before the claim.

12. Indemnification

You agree to hold Build Test Run LLC harmless from claims, losses, and expenses (including legal fees) that arise from your use of the service, your content, your callers, a Google account or calendar you connect, or your violation of these terms.

13. Termination

You can close your account at any time. Closing your account or disconnecting Google Calendar ends Elody's authorization to access that Google Calendar. We may suspend or terminate your account if you violate these terms, with notice when practical. On termination, your right to use the service ends. Sections on liability, indemnification, and governing law survive termination.

14. Governing law and disputes

These terms are governed by the laws of the State of California, United States. Any dispute related to these terms or the service will be resolved in the state or federal courts located in Del Norte County, California. You agree to the personal jurisdiction of those courts.

15. Changes to these terms

We may update these terms as the product changes. We will notify you of material changes by email or in-app notice at least 30 days in advance. Your continued use after the effective date means you accept the updated terms.
